SERVER PROVIDER AGREEMENT

This Service Agreement (“Agreement”) shall apply and govern the Statement of Work(s), project, letter of intent or any other document (“SOW”) executed between Intechbit or any of its affiliates [specifically identified in the SOW] (“Consultant/Consultant”) and Customer, for the purpose of providing professional services (“Services”) or server hosting.

User Responsibilities:
The User agrees to:

Use the server for lawful purposes only and comply with all applicable laws.

Maintain security measures such as strong passwords and access control.

Ensure that uploaded content does not violate copyrights, trademarks, or contain malware.

Avoid excessive bandwidth usage that could affect other customers.

Billing and Payment Terms:

Billing Cycle: The User agrees to pay [amount] on a monthly/quarterly/annual basis..

Payment Methods: Accepted payments include bank transfer

Late Payments: Failure to pay within 7 days will result in a suspension of services.

Refund Policy: If the User terminates the agreement within 2 days, a refund of 50% of the unused amount will be provided.

Data Security and Privacy:

The Provider will take reasonable measures to protect user data through encryption, firewalls, and secure backups..

The Provider does not access, share, or sell the User’s data unless required by law.

Users are responsible for keeping their login credentials confidential.

Intellectual Property Rights:

The User retains ownership of all content they upload to the server.

The Provider retains ownership of the software and infrastructure used to provide the service.

The User cannot resell, modify, or distribute the Provider’s proprietary software or services.

Termination and Suspension:
The Provider may suspend or terminate services if the User:

Engages in illegal activities.

Fails to pay outstanding invoices.

Violates the terms of use.

General Provisions:

Entire Agreement: This Agreement constitutes the entire understanding between the parties

Amendments: Changes to this Agreement must be made in writing and signed by both parties.

Force Majeure: The Provider is not responsible for service failures due to circumstances beyond their control (e.g., natural disasters, cyberattacks).
